1. These terms

These Terms of Service govern your use of win.aljarash.com and, together with our quotation and order acknowledgement documents, form the agreement under which WIN Aljarash LLC supplies goods and services. By using this website or placing an order you accept these terms. If you do not accept them, please do not use the site.

2. Quotations and orders

• Quotations are valid for 14 calendar days from issue unless stated otherwise on the quotation.
• A quotation is an invitation to order and not a binding offer. A contract is formed only when we issue a written order acknowledgement.
• Prices are in US dollars and exclude applicable sales tax and freight unless the quotation says otherwise.
• Where a quantity is described as approximate or subject to manufacturer packing, we may supply within a reasonable tolerance and invoice the quantity supplied.
• Special-order and non-stocked items are non-cancellable and non-returnable once placed with the manufacturer, unless faulty.

3. Pricing and payment

• Approved account holders are invoiced on Net 30 terms from the date of invoice. All other customers pay before despatch.
• We accept ACH transfer, company check and major credit cards. Card payments may attract the processor’s fee where disclosed in advance.
• Overdue balances may attract interest at 1.5% per month, or the maximum permitted by Nevada law if lower, applied only after written notice.
• We reserve the right to suspend deliveries or revise credit terms where an account is materially overdue.
• Title to goods passes on payment in full. Risk passes on delivery.

4. Delivery

Delivery dates are estimates given in good faith based on carrier and manufacturer information. We are not liable for delays outside our reasonable control, including carrier failure, weather, manufacturer shortages or acts of government. Where a delay becomes material we will contact you with the revised date and, if you prefer, cancel the affected lines without charge. Shortages or transit damage must be reported within five business days of delivery, with photographs where relevant. Full detail is set out in our Shipping & Returns policy.

5. Returns and cancellations

Stocked items in unopened, resaleable condition may be returned within 30 days of delivery for a full credit, subject to a return authorisation number issued by us. Special orders, cut lengths, custom kits and hazardous goods are excluded except where faulty. Our Shipping & Returns policy forms part of these terms.

6. Warranties

Goods are supplied with the warranty offered by their manufacturer, which we pass through in full and will help you claim under. We warrant that goods will correspond with their description at the time of despatch and will be free from defects in our handling. Except as expressly stated, and to the maximum extent permitted by law, we disclaim all other warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.

7. Customer responsibilities

• You are responsible for confirming that the specification, grade, size and standard quoted is correct for your application.
• You are responsible for the safe storage, handling, use and disposal of goods, and for compliance with OSHA and any other regulation applicable to your site.
• Where we suggest an alternate product, the final decision on suitability is yours and we will supply the documentation you need to make it.

8. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or in connection with any order is limited to the amount invoiced for the goods giving rise to the claim. We are not liable for indirect, incidental, special or consequential loss, including loss of profit, loss of production, downtime or loss of contract. Nothing in these terms excludes liability for death or personal injury caused by our negligence, for fraud, or for anything that cannot lawfully be excluded.

9. Intellectual property

All content on this website — text, layout, graphics, photography and the WIN Aljarash name and logo — is owned by or licensed to WIN Aljarash LLC and is protected by United States and international copyright and trademark law. You may view, download and print pages for the purpose of doing business with us. Systematic copying, scraping, republication or commercial reuse is not permitted without our prior written consent. Third-party manufacturer names and marks remain the property of their owners and are used for identification only.

10. Acceptable use of this website

You agree not to use this site in any way that is unlawful, that interferes with its operation, that attempts to gain unauthorised access to any system, or that involves automated scraping or bulk data extraction. We may suspend access where we reasonably believe this clause is being breached.

11. Force majeure

Neither party is liable for failure to perform caused by events beyond its reasonable control, including natural disaster, fire, flood, epidemic, labour dispute, transport failure, government action or interruption of utilities. Where such an event continues for more than 60 days, either party may cancel the affected order without further liability.

12. Governing law

These terms and any dispute arising out of them are governed by the laws of the State of Nevada, without regard to conflict of law principles. The state and federal courts located in Carson City, Nevada have exclusive jurisdiction, and both parties submit to that jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

13. Changes to these terms

We may update these terms from time to time. The version published on this page at the date your order is acknowledged is the version that applies to that order.
